Robinhood Markets (HOOD) has agreed to acquire PT Buana Capital Sekuritas and PT Pedagang Aset Kripto in a dual deal that launches the firm’s operations in Indonesia. The deals mark HOOD’s entrance into Southeast Asia’s largest economy and signal plans to tap into a large and growing base of stock and crypto traders. The combined move underscores HOOD’s ambition to expand its footprint beyond the United States.
Acquisition of Buana Capital Sekuritas
Robinhood will buy PT Buana Capital Sekuritas, an established Indonesian brokerage. This will enable HOOD to inherit a local licensed platform that already serves Indonesian capital-market clients. The existing clients will continue to receive Indonesian financial products under the Buana Capital brand during the integration. Over time, HOOD plans to introduce its own brokerage offerings in Indonesia, including access to U.S. equities. The acquisition helps HOOD sidestep starting from zero, and gives it regulatory clearance and local presence from day one. The deal remains subject to approval by Indonesia’s Otoritas Jasa Keuangan (OJK) and other regulators. The closing is expected in the first half of 2026.
Acquisition of Pedagang Aset Kripto
Robinhood will acquire PT Pedagang Aset Kripto, a licensed trader of digital financial assets (crypto) under Indonesian law. This gives HOOD immediate access to Indonesia’s crypto trading market without building its own infrastructure from scratch. Through Pedagang Aset Kripto, Robinhood will be able to offer crypto trading under a legal framework that classifies crypto as digital financial assets, regulated by OJK as of early 2025. With regulatory approval, HOOD aims to extend its U.S. crypto and equity product offerings to Indonesian customers. The company also intends to maintain local crypto-asset services during the transition. The acquisition includes the transfer of majority-owner links: the current majority owner will remain involved as a strategic adviser to HOOD, aiding continuity.
Market Context and Regulatory Backdrop
Indonesia now has more than 19 million capital market participants and roughly 17 million cryptocurrency traders, making it one of Asia’s fastest growing investment markets. The local population’s rising interest in both equities and digital assets provides a fertile base for HOOD to grow. Regulatory changes this year have supported this trend. In January 2025, OJK assumed regulatory oversight of crypto and digital financial assets under new rules that reclassify crypto as a digital financial instrument rather than a commodity. These rules require licensed traders and exchanges to meet new governance, licensing, and consumer-protection standards. New regulations also allow digital asset derivative trading under specified conditions.
This regulatory clarity makes Indonesia a more secure environment for international firms like HOOD to operate. By acquiring already licensed and established firms, HOOD avoids a lengthy licensing process and gains ready infrastructure. It also positions the company to benefit from Indonesia’s expanding retail investor base, driven by a technologically savvy younger generation and growing digital-asset adoption.
