The transaction for 4M Defense elevates Ondas to complete ownership of Chirokka Holding Ltd., the Israeli entity that serves as 4M Defense’s parent organization. Ondas initially secured a controlling 70% interest in October 2025. To acquire the outstanding 30%, the company issued 352,968 shares of ONDS common stock, with potential additional compensation of up to $1.4 million in stock contingent upon achieving specified performance targets.
Share recipients face restrictions preventing unrestricted liquidation. The purchase agreement limits sellers to disposing of no more than 10% of ONDS’s average daily trading volume during any individual trading session, based on calculations from the preceding ten trading days.
The distributed shares qualify for exemption from registration requirements under Regulation S of the Securities Act of 1933. Ondas indicated it will file a prospectus supplement with the SEC to facilitate resale opportunities, while maintaining the established trading limitations.

Simultaneously on Monday, Ondas announced completion of its Rotron Aerospace purchase. The British enterprise specializes in unmanned aerial vehicle development, VTOL platforms, extended-range drone systems, aero-engine technology, and comprehensive propulsion solutions.
Rotron will function as Ondas’ United Kingdom operational hub within the Ondas Autonomous Systems division, establishing both a UK manufacturing presence and cultivating connections with the UK Ministry of Defence.
Ondas CEO Eric Brock commented that Rotron’s propulsion and technical expertise “significantly expand the endurance and operational reach of next-generation autonomous systems.”
Gilo Cardozo, who founded Rotron and serves as CTO, indicated the acquisition provides his organization with the infrastructure required to commercialize its technologies at scale.
