AI Financial Corp., previously operating as ALT5 Sigma, has submitted a going concern notification to the Securities and Exchange Commission following a dramatic one-third depreciation in its World Liberty Financial token portfolio during the opening quarter of 2026.

The corporation acquired 7.28 billion WLFI tokens during August 2025 in a transaction valued at roughly $1.46 billion, with each token priced at $0.20. However, by March 28, 2026, the market valuation of these digital assets had plummeted to merely $706.4 million.
This dramatic valuation decline generated an unrealized loss of $348.3 million throughout Q1 exclusively. When factored alongside additional operational expenses, AI Financial disclosed a comprehensive net loss of $271.5 million for the 13-week period concluding March 28 — a stark contrast to the $2.4 million loss recorded during the equivalent timeframe in the previous year.
The corporation’s operational revenue reached $4.7 million, generated exclusively through its fintech processing operations.
Liquidity Concerns Mount
The company’s cash position totaled $10.5 million at quarter’s end. Approximately $3.5 million of these funds had already been earmarked for an ongoing legal proceeding. Total short-term obligations of $39.1 million exceeded current assets of $32.2 million.
Management formally recognized that these financial conditions “raise substantial doubt” regarding the organization’s capacity to maintain operations as a going concern throughout the upcoming 12-month period.
To address immediate financial obligations, AI Financial secured $15 million in financing from World Liberty Financial during January 2026, receiving $14.2 million after deducting associated fees. The credit facility carries an annual interest rate of 4.5% and is secured by WLFI tokens.
Token Illiquidity Compounds Problems
Notwithstanding substantial token holdings valued at hundreds of millions on financial statements, AI Financial lacks the flexibility to monetize them. The complete 7.28 billion WLFI token position remains bound by contractual restrictions. A portion consisting of 3.53 billion tokens faces a 12-month non-transfer restriction. The balance of 3.75 billion tokens necessitates both shareholder authorization and finalized resale registration documentation before transfer becomes permissible.
WLFI controls approximately 46% of AI Financial’s fully diluted ownership stake, positioning it simultaneously as a creditor and principal shareholder.
AI Financial’s chairman Zachary Witkoff serves concurrently as co-founder and chief executive of WLFI. Board member Zachary Folkman similarly holds a co-founder position at WLFI.
The organization has completed the acquisition of Block Street Corp. and executed a letter of intent for purchasing Dectec, a firm specializing in decentralized technologies.
AIFC shares exchanged hands near $0.91 during Tuesday’s trading following the regulatory disclosure, declining roughly 9.6% intraday. The equity has depreciated approximately 87.5% throughout the trailing 12-month period.
