Shares of Nebius Group experienced a notable 7.1% climb during Wednesday’s pre-market session, staging a significant comeback following a punishing six-day stretch that had slashed roughly 24% from the stock’s valuation.
Market participants had grown increasingly anxious about the company’s planned debt issuance throughout the recent downturn. However, those concerns evaporated rapidly once the final figures were announced.
The AI infrastructure provider successfully wrapped up its convertible notes offering at $5.75 billion, substantially surpassing the initially announced $4.5 billion target. This significant oversubscription signals robust institutional demand for the company’s securities.
Management plans to deploy the capital toward expanding data center capacity, acquiring additional GPU resources, and advancing development of its comprehensive AI cloud infrastructure platform.
Wall Street’s Most Bullish Price Objective From Goldman
Goldman Sachs analysts increased their price objective for NBIS from $286 to $328 on August 25, establishing the most optimistic target among Wall Street firms while maintaining their Buy recommendation. This upward revision provided additional momentum heading into Wednesday’s trading.
The target adjustment coincided with the company’s Annual General Meeting, during which investors greenlit all 16 proposals presented for consideration.
Approved measures encompassed reappointments to the board of directors, authorization to issue additional Class A shares, and permission to waive pre-emptive shareholder rights while conducting buybacks of up to 20% of outstanding stock.
The latter provision sparked some controversy among market participants. Concerns about potential shareholder dilution and the possibility of additional capital raises had pressured shares lower in the session immediately following the AGM, even as Goldman’s upgraded target was making headlines.
Broader Industry Trends Provide Tailwinds
The neocloud infrastructure segment is commanding heightened attention from the investment community currently. Nebius reported explosive Q2 revenue expansion of 454% on a year-over-year basis. CoreWeave similarly posted impressive financial performance. IREN represents the final major neocloud platform provider yet to announce quarterly results, with its earnings report scheduled for today.
Market participants are establishing positions in anticipation of that release, and this sector-wide enthusiasm is providing a boost to NBIS shares as well.
Favorable market conditions are also contributing to the upward movement. The Nasdaq composite has advanced more than 1% while the S&P 500 index is posting gains of approximately 0.5%, creating a supportive environment for high-growth AI infrastructure equities.
It’s important to recognize that Nebius continues to operate at a loss. Substantial capital expenditures on data center infrastructure and GPU hardware mean the path to profitability has not yet been demonstrated. Execution challenges and the potential for more restrictive financing environments represent legitimate risks.
The stock has appreciated 165% since the beginning of the year, currently commanding a market capitalization of $57.34 billion with typical daily trading volume averaging approximately 21.6 million shares.
Having resolved its debt financing uncertainty, secured Wall Street’s highest analyst price target, and completed a successful shareholder meeting, NBIS approaches Thursday’s trading session with positive momentum firmly established.
