The dramatic selloff followed Monday evening’s announcement that Enova had terminated its regulatory submission process with both the Office of the Comptroller of the Currency and the Board of Governors of the Federal Reserve System.
These regulatory filings were directly connected to the company’s proposed $369 million takeover of Grasshopper Bancorp, a digitally-focused commercial banking institution. With the withdrawal of these applications, the transaction has been effectively terminated.
The Grasshopper Bancorp acquisition was originally unveiled by Enova in December 2025. Since that announcement, the transaction had remained in regulatory limbo awaiting official approval.
Chief Executive Steve Cunningham provided commentary on the strategic reversal. “After a thorough evaluation, we are confident that withdrawing our applications is the best decision for Enova and our shareholders,” he stated in the company’s official announcement.
Cunningham further highlighted the challenging regulatory landscape as a critical consideration. “Regulators do not have clear standards for nonbanks that want to become banks and that serve customers whose credit needs today are met mostly outside of the banking system,” he explained.
The organization refrained from identifying particular regulatory concerns that may have emerged. Instead, Enova indicated that insufficient advancement in the approval process prompted the withdrawal decision.
Analyst Revises Price Projection Downward
Following the announcement, a Citizens analyst revised the price target for ENVA downward to $215 from the previous $270, while continuing to assign a Market Outperform rating to the shares.
The financial institution observed that ENVA shares were trading approximately 20% lower near the $180 level during premarket activity. The ultimate decline approached 25% by the close of trading.
Citizens analysts highlighted that according to InvestingPro assessment metrics, the stock seems overvalued compared to its Fair Value calculation, although its PEG ratio of 0.36 suggests attractive valuation when factoring in growth expectations.
Core Operations Continue Delivering Robust Results
While the acquisition strategy has unraveled, Enova’s fundamental business operations have demonstrated impressive momentum. The organization posted adjusted earnings of $4.31 per share against revenue of $929 million during its second quarter of 2026.
These figures surpassed analyst consensus expectations, which had projected $3.96 per share in earnings and $909.61 million in total revenue.
The results also represented the eighth consecutive quarter where earnings per share expanded by more than 30%, with Citizens analysts previously highlighting robust performance across both consumer credit and small-business lending segments.
Despite Tuesday’s substantial decline, ENVA shares remain positive for the year, up 7.6% year-to-date, while posting approximately 40% gains over the trailing twelve-month period.
The company’s market capitalization currently sits around $5.64 billion, with shares trading at a price-to-earnings multiple of 16.72.
Despite lowering its price target, Citizens maintained its Market Outperform stance, emphasizing the company’s continued expansion potential.
