The commercial structure includes warrants granted to an Amazon affiliate, permitting the purchase of up to 1,693,745 Generac shares at $200.93 each. This equates to a potential equity investment exceeding $340 million.
Approximately 308,000 warrant shares became vested immediately. The balance will vest incrementally as Amazon’s cumulative payments reach predetermined milestones. These warrants remain exercisable through September 16, 2033.
