Key Highlights
- Ondas (ONDS) announced plans to acquire 100% ownership of Omnisys, an Israeli firm specializing in AI-driven Battle Resource Optimization (BRO) software.
- The BRO platform boasts a 25-year operational history and has been proven effective in large-scale combat scenarios.
- This strategic acquisition introduces a high-margin, software-centric business line while strengthening Ondas’ footprint in international defense sectors.
- Omnisys’ BRO technology will merge with Ondas’ current infrastructure to establish a comprehensive “sense-decide-orchestrate-act” operational model, working in tandem with the SkyWeaver AI system.
- Following the announcement, ONDS stock climbed 1.5% during premarket hours.
Ondas (ONDS) has entered into an agreement to acquire Omnisys, an Israeli developer of AI-driven battlefield management software, marking a significant expansion into software-centric defense solutions.
Shares of ONDS advanced 1.5% in premarket sessions following the announcement.
Omnisys develops Battle Resource Optimization (BRO) software, a sophisticated platform designed to assist military forces in mission planning, resource distribution, and executing real-time tactical decisions across various combat theaters simultaneously.
With a quarter-century of operational experience, Omnisys claims BRO has been successfully implemented in some of the globe’s most sophisticated defense systems, including intricate multi-tiered air defense networks.
Eric Brock, CEO of Ondas, characterized BRO as a “proven, battle-tested software platform” that enhances operational value through improved planning capabilities and real-time mission coordination across multi-domain battlespaces.
The transaction is configured as a complete acquisition of all Omnisys shares. Ondas has submitted Form 8-K documentation to the SEC containing further details about the agreement terms.
Integration with Current Ondas Technology Stack
The BRO platform will complement Ondas’ current AI solution, SkyWeaver, functioning as a coordination and optimization component.
The combined platforms are designed to deliver what Ondas describes as a “sense-decide-orchestrate-act” operational ecosystem — spanning intelligence gathering, strike operations, electronic warfare capabilities, counter-drone systems, and aerial defense missions.
Omnisys CEO Ofer Yarden expressed enthusiasm about leveraging Ondas’ worldwide presence to bring BRO technology to defense markets outside Israel.
The platform’s vendor-neutral architecture enables compatibility with diverse defense systems and infrastructure without dependency on particular hardware or proprietary platforms.
Strategic Rationale Behind the Deal
Ondas has been systematically developing its autonomous systems offerings, including intelligence platforms, anti-drone technologies, and comprehensive defense solutions.
Incorporating a revenue-generating, software-oriented business with strong profit margins aligns perfectly with this strategic direction.
According to Ondas, BRO will function as a “core orchestration layer” throughout its expanding product lineup — linking sensors, platforms, and response systems into a unified operational architecture.
The system employs AI algorithms combined with operations research techniques to produce real-time tactical options throughout the complete mission spectrum, from initial planning stages through post-operation assessment.
Oshri Lugassy, Co-CEO of Ondas Autonomous Systems, noted that BRO facilitates “true closed-loop operations” — an integrated environment where threat identification, decision processes, and responsive actions occur within a single interconnected framework.
Ondas emphasized that this acquisition reinforces its expansion into U.S. and partner nation defense markets while fast-tracking its evolution toward completely integrated, software-driven defense architectures.
