The aerospace firm, headquartered in Long Beach, secured $1.944 billion via an at-the-market equity program, distributing 29.3 million shares to investors. This capital infusion represents a critical milestone in advancing the mixed cash-and-stock transaction to acquire Iridium.
When combined with Iridium’s outstanding debt obligations and Rocket Lab’s existing cash reserves, the aerospace company now possesses adequate resources to satisfy all mandatory cash distributions, settle specific Iridium liabilities, and cover associated deal costs.
Regulatory authorities declared the equity offering’s registration statement effective on August 26, 2026. On the same day, Iridium submitted its definitive proxy materials, officially initiating the shareholder voting process.
Bridge Loan Eliminated
In a strategic financial move, Rocket Lab has cancelled the $3.6 billion senior secured bridge loan facility initially established in June 2026. Bridge financing typically carries high costs and brief terms, so eliminating it at this stage streamlines the transaction’s capital structure.
The bridge arrangement was originally put in place when the companies announced their merger agreement on June 28, 2026. With the equity capital now successfully raised, the temporary financing is redundant.
Meanwhile, Iridium obtained modifications to its existing $1.775 billion credit facility to accommodate the ownership transition resulting from the acquisition. The term loan’s outstanding principal totaled $1.775 billion at the end of June 2026.
Loan Guarantee Framework
According to the modified credit terms, Rocket Lab USA, Inc., the primary operational entity, will issue an unsecured guarantee backing the Iridium term loan after the transaction concludes.
This framework provides reassurance to Iridium’s creditors while avoiding requirements for Rocket Lab to pledge tangible assets, which is important for maintaining financial flexibility following the merger.
The acquisition remains on schedule for completion in mid-2027, subject to standard regulatory reviews and approval from Iridium shareholders.
Iridium shares (IRDM) increased 1.09% following the announcement, a measured response suggesting investors view this primarily as a funding milestone rather than a material change to deal conditions.
Should the transaction fail to materialize for any cause, or if excess capital remains after closing, Rocket Lab indicated it would allocate those resources toward expansion initiatives, potential acquisitions, and standard corporate operations.
