Shares of Swarmer (SWMR) advanced 4.9% during premarket hours Thursday following the company’s disclosure of a definitive purchase agreement to acquire Ratel Robotics, a Ukrainian manufacturer of unmanned ground vehicles, in a transaction valued at up to $224 million combining cash and stock consideration.

This transaction represents Swarmer’s inaugural significant acquisition since Erik Prince assumed the role of board chairman.
Upon transaction completion, Swarmer will deliver an estimated $7.2 million cash payment alongside 1,064,942 stock units to Ratel’s existing ownership. Additionally, the transaction framework incorporates contingent consideration of up to $7.2 million in supplementary cash payments and as many as 4,422,125 additional stock units, contingent upon achieving specified performance targets spanning 2026 through 2028.
Current owners will face a six-month restriction period on disposing of issued equity. Swarmer has committed to providing registration privileges enabling future stock sales once the company qualifies for Form S-3 registration.
Transaction completion is projected for Q4 2026, contingent upon shareholder authorization for equity issuance, regulatory approvals and other customary closing conditions.
Ratel Robotics offers an array of modular unmanned ground vehicle systems proven through actual combat deployment. These platforms support diverse operational requirements including supply transport, medical evacuations, intelligence gathering, aerial drone deployment and mine clearance activities.
Ratel has already obtained contractual commitments worth $86 million in the current year and maintains active negotiations with several NATO member states through the “Build With Ukraine” framework.
The company’s platforms represent approximately 37% of the 11 billion UAH (equivalent to roughly $246.85 million) allocated by Ukraine’s Ministry of Defense Procurement Agency toward UGV acquisitions during the period spanning January 1 through April 18, 2026. This constitutes a substantial portion of a rapidly expanding procurement sector.
Expanding Swarmer’s Robotics Footprint
This acquisition will integrate Ratel’s complete range of combat-validated UGVs with Swarmer’s current drone autonomy software infrastructure. Swarmer intends to merge these complementary technologies to develop what the company characterizes as adaptable, cross-compatible systems.
Swarmer reported that its technology has enabled over 100,000 operational combat missions in Ukraine beginning in April 2024.
Ratel Robotics maintains a workforce exceeding 300 employees. The entire team is anticipated to transition to Swarmer following deal consummation, expanding the merged organization’s total personnel to approximately 500.
Leadership Structure Post-Close
Taras Ostapchuk, who founded Ratel Robotics and serves as its CEO, will continue in his current capacity following transaction completion and will operate under the supervision of Alex Fink, President and U.S. CEO of Swarmer.
The transaction architecture incorporates mechanisms to synchronize Ratel’s executive incentives with post-acquisition outcomes through the extended earnout framework.
Swarmer indicated it is actively working toward obtaining required regulatory authorizations and shareholder consent for the equity component, maintaining focus on completing the transaction during Q4 2026.
