On Monday, Tempus AI revealed its intention to acquire Personalis through an all-cash transaction totaling $1.5 billion. The acquisition price of $16.25 per share marks a 5.6% premium compared to Personalis’ Friday close of $15.39.
Market participants responded negatively to the news. TEM shares tumbled 8.8% to reach $47.81, while Personalis declined 9.4% to $13.90. Trading volume surged as both securities experienced significant downward pressure.
The decline sent TEM beneath its 50-day moving average of $51.40 ā a technical indicator closely monitored by market participants. The stock has now declined 18% year-to-date and is experiencing its fourth consecutive trading session in the red.
According to Tempus, the acquisition will enhance its capacity to serve cancer patients throughout the entire treatment journey, from initial diagnosis through therapy, monitoring, and detecting disease recurrence. With Tempus already holding a 12.5% ownership stake in Personalis, this transaction represents a full consolidation of their existing partnership.
Personalis CEO Chris Hall characterized the transaction as the optimal result for stakeholders. “After conducting an exhaustive process, we are confident Tempus’ offer provides the most value to our shareholders and the fastest path to bringing Personalis’ industry-leading tests to patients suffering from cancer,” Hall stated.
The company projects the deal will reach completion by year-end 2026 or during the first quarter of 2027.
Wall Street Opinions Remain Divided
Despite Monday’s selloff, sentiment on TEM remains mixed across the Street. BTIG Research maintains a buy recommendation with an $80 price objective. TD Cowen similarly assigns a buy rating. Conversely, Jefferies carries an underperform rating with a $35 target, while Wall Street Zen recently downgraded the shares to sell.
In aggregate, nine analysts recommend buying TEM, four suggest holding, and two have sell recommendations. The consensus rating stands at “Hold” with an average price target of $68.92 ā indicating substantial upside from current trading levels.
The company’s latest quarterly results exceeded Wall Street expectations. Tempus reported earnings per share of -$0.13, surpassing the consensus estimate of -$0.21. Revenue reached $348.12 million, marginally above the anticipated $345.44 million, representing 36.1% year-over-year growth.
Despite revenue growth, Tempus continues operating at a loss, with a net margin of negative 22.2% and return on equity at negative 53.83%. Analysts project full-year EPS of -$1.35.
Notable Insider Transactions Draw Attention
Recent insider selling activity has attracted investor scrutiny. On July 8, CEO Ryan Fukushima divested 33,284 shares at $57.39 per share, generating approximately $1.9 million in proceeds. CFO James Rogers sold 11,529 shares on June 25 at $55.00 each. Both executives executed these transactions through pre-established Rule 10b5-1 trading plans.
Collectively, company insiders have sold more than 616,000 shares valued at approximately $31.75 million during the previous quarter. Insiders maintain ownership of 24.26% of outstanding shares.
