Uber has officially presented a comprehensive public acquisition proposal for Germany-based food delivery platform Delivery Hero, with the transaction valued at approximately $14.8 billion.
The offer price stands at €41.50 for each share, delivered entirely in cash. This valuation provides a notable premium compared to Delivery Hero’s recent market valuations. The proposal requires minimum acceptance from holders of 50% plus one additional share.
Uber stock (UBER) experienced a 0.82% increase when the announcement was made. Delivery Hero (DHER) saw a modest rise of 0.08%.
Both the management team and supervisory board of Delivery Hero have provided unanimous endorsement for the proposal. They intend to advise shareholders to approve the offer following examination of the complete offer documentation.
Prior to this acquisition bid, Uber maintained an ownership position of slightly below 37% in Delivery Hero, which included derivative instruments. With Prosus agreeing to transfer its ~17% holdings, Uber’s combined economic position now reaches approximately 53%.
Strategic Rationale Behind Uber’s Acquisition
The transaction focuses on expanding Uber Eats’ presence in regions where Delivery Hero has established significant operations. Delivery Hero operates Talabat across the Middle East, HungerStation throughout Saudi Arabia, PedidosYa in Latin American territories, and Baemin within South Korea.
These represent geographical areas where Uber Eats maintains minimal to no operational presence currently. Incorporating these assets would substantially broaden Uber’s international capabilities for its food delivery division.
This strategic initiative arrives as food delivery platforms worldwide pursue consolidation strategies following extended periods of intense competition and substantial capital expenditure.
Delivery Hero’s Planned Divestitures
To facilitate regulatory approval processes, Delivery Hero has consented to dispose of its operations across 14 markets prior to the Uber acquisition’s finalization.
This divestiture package encompasses Yemeksepeti, its Turkish operation, which will be transferred to investment company SSW Partners.
These strategic sales form part of the requirements established to expedite antitrust examination procedures.
Uber has made commitments to maintain Delivery Hero’s central headquarters in Berlin and preserve its employee base through a minimum of 2029. Additionally, the company will deploy €2 billion in investments throughout Germany during the upcoming five-year period.
The deal is projected to reach completion during the second half of 2027, contingent upon shareholder authorization and regulatory approval.
Among Wall Street analysts, sentiment toward UBER remains predominantly favorable. The stock holds a Strong Buy consensus rating on TipRanks, supported by 28 Buy recommendations alongside two Hold ratings.
The mean price target is positioned at $107.28, suggesting potential upside of approximately 47.6% from present trading levels. For the year-to-date period, UBER has declined 11.1%.
