Investor sentiment proved lukewarm. During Monday’s premarket session, Theravance shares retreated 2.8% to $17.14. Zymeworks experienced a 1.4% decline.
The below-market acquisition price stands out as atypical in the biotech M&A landscape and helps explain the negative market reaction. Most acquisition agreements include a premium above current trading levels.
That said, the offer does provide a 22% gain over Theravance’s March 3 trading level—the day the company disclosed disappointing late-stage clinical results for ampreloxetine, an investigational treatment for a rare medical condition.
Following the clinical setback, Theravance initiated a corporate restructuring that eliminated approximately 50% of its employee base. Subsequently, the company launched a formal strategic review process to evaluate potential transactions, including an outright sale.

The Acquisition’s Core Assets

Yupelri produced $266.6 million in U.S. net revenue throughout 2025, reflecting 12% growth versus 2024. During the initial quarter of 2026, U.S. net revenue reached $62.4 million, marking a 7% year-over-year increase.
Under a partnership agreement with Viatris, Theravance receives a 35% net profit share on U.S. Yupelri sales. According to Zymeworks, these royalty payments and profit participation currently deliver approximately $60 million in annual cash generation.
