The fast-fashion powerhouse Shein kicked off its Hong Kong initial public offering Monday, August 24, making available approximately 280 million Class B shares with a pricing range of HK$47.60 to HK$49.50 per share. The capital raise aims to secure as much as HK$13.86 billion, equivalent to approximately $1.77 billion.
This public offering establishes the online fashion retailer’s market capitalization at roughly $27 billion. The figure represents a dramatic reduction from the company’s $98.2 billion valuation achieved during a private investment round in 2022.
The final share price will be determined by Shein on August 31. Public trading on the Hong Kong Stock Exchange is slated to commence September 1.
Extended Journey to Public Markets
This listing follows multiple unsuccessful listing attempts spanning several years. Initially, Shein pursued a U.S. public offering but encountered significant resistance regarding its China-based supply network and labor-related controversies. Subsequently, the company explored a London listing, where both regulatory obstacles and political opposition prevented advancement.
In July 2025, Shein submitted confidential paperwork for a Hong Kong exchange listing and secured authorization from Chinese securities authorities in July 2026.
Established in China in 2012, Shein relocated its corporate headquarters to Singapore in 2021. Despite this move, its production infrastructure maintains strong ties to China, creating vulnerability to shifting trade policies and international political tensions.
Decelerating Expansion and Mounting Expenses
The company’s revenue expansion has experienced substantial deceleration. Growth measured 41.1% in 2023, contracted to 20.7% in 2024, and declined further to 8% in 2025. During the opening quarter of 2026, expansion registered merely 1.1%.
Annual 2025 revenue totaled approximately $41.85 billion, while net earnings plummeted 38.7% to $2.06 billion. The first quarter of 2026 saw Shein record a $99 million net deficit, contrasting sharply with a $395 million profit during the equivalent period the previous year.
The elimination of the U.S. de minimis provision, which previously permitted duty-free entry for shipments valued under $800, delivered a severe blow to operations. American market revenue declined 14.3% in Q1. Additional European import levies are compounding these challenges.
Shein has also acknowledged facing “significantly higher level of duties and taxes” within the United States, with merchandise originating from China now facing tariff rates spanning 10% to 87.5%.
The organization has allocated approximately $80 million to address pending legal and compliance matters. These include an FTC enforcement action, an EU Digital Services Act inquiry, and data protection proceedings in France and Ireland.
Financial Support and Capital Allocation
A consortium of cornerstone investors has pledged approximately $383 million. These strategic backers include Boyu Capital, Tiger Global, General Atlantic, Tencent, Greenwoods, Taikang Life, and UBS Asset Management.
The company intends to allocate roughly 80% of IPO capital toward technological advancement, encompassing artificial intelligence and data analytics capabilities, inventory management systems, and supply chain infrastructure enhancements.
This offering represents Hong Kong’s most substantial new equity issuance in 2026, eclipsing Momenta Global’s $751 million transaction completed in July. Hong Kong exchange listings have generated approximately $41 billion year-to-date, establishing a record trajectory and exceeding double the comparable 2025 period total.
Shein continues serving customers across approximately 160 nations. The September 1 market debut will serve as a crucial evaluation of its operational framework amid evolving trade regulations and compliance requirements.
