In its official statement, the company disclosed that it had “become aware of certain conduct by Kubasik that was not consistent with the values of the Company as outlined in its Code of Conduct.” The organization emphasized that the issues identified bore no connection to the company’s financial statements, internal control systems, client partnerships, or day-to-day operations.
After completing a comprehensive investigation with assistance from external legal advisors, the board of directors concluded that entering into a separation arrangement with Kubasik served the company’s best interests.
Lewis Hay III, appointed as Independent Chairman of the Board after serving as Lead Independent Director, commented: “The Board and Chris have agreed that implementing our succession plan today is the right thing to do. We thank him for his service.”
Mehta Assumes Leadership Role
The board has elevated Sam Mehta to president and CEO. Mehta came aboard L3Harris in 2023, where he held leadership responsibilities for the Space and Mission Systems division along with the Communications and Spectrum Dominance segmentābusiness units collectively generating over 80% of company revenues.
“I am honored by the opportunity to serve as President and CEO of L3Harris,” Mehta stated. “Today, L3Harris has a portfolio purpose-built for the future of warfare, and we are well-positioned to continue executing our focused growth strategy as The Trusted Disruptor.”
The leadership transition included two additional executive appointments. Lauren Barnes received the title of President of SMS, while Christopher Aebli was designated President of CSD, with both promotions taking effect immediately.
Kubasik’s tenure with the organization spanned nearly a decade. He initially joined L3 Technologies in 2015, navigated the landmark 2019 merger with Harris Corporation, assumed the chief executive position of the merged entity in June 2021, and led the strategic 2023 purchase of Aerojet Rocketdyne.
Stock Performance Under Previous Leadership
At the time Kubasik assumed the CEO role, LHX shares traded near $215. Prior to Monday’s session, the stock had appreciated roughly 35% during his tenure, though this performance lagged the S&P 500 by approximately 45 percentage points over the comparable timeframe.
Rob Stallard, an analyst with Vertical Research Partners, observed Monday that it has “not escaped investors’ attention that L3 Harris Technologies’ stock has underperformed its U.S. defense peers under Kubasik’s leadership,” noting the underperformance relative to industry competitors totals roughly 45 percentage points across a five-year period.
Stallard expressed cautious optimism regarding the new leadership: “We have high regard for Sam Mehta, who in our experience has been an effective manager and a good communicator. He may be a catalyst for closing the performance gap.”
Monday’s decline extended existing downward pressure on the shares. LHX had depreciated nearly 20% since hostilities involving Iran escalated in early March, reflecting investor concerns about potential defense budget constraints should Democrats regain control of the House of Representatives during the 2026 midterm elections.
Notwithstanding the executive transition, L3Harris confirmed all existing 2026 financial guidance, including projections for total revenue, organic growth rates, segment operating margins, GAAP earnings per share, and free cash flow generation.
