Ondo Finance has introduced a fresh platform named Ondo Private Markets. The service enables investors to obtain exposure to privately held firms ahead of any public market debut.
The inaugural offering is a tokenized note linked to an undisclosed artificial intelligence business.
These instruments differ from traditional equity. Their value tracks what the underlying company’s shares might fetch during a public offering or acquisition event.
Note holders receive no ownership stake in the referenced firm. They also forfeit voting privileges and dividend distributions.
Structure and Mechanics of the Notes
Returns hinge on a “qualifying liquidity event.” Such events include initial public offerings or corporate acquisitions.
Token holders can store these digital assets in self-custody wallets. Secondary market trading is available around the clock without restrictions.
According to Ondo, the inaugural notes should commence trading within the current week. Additional offerings spanning robotics, cybersecurity, biotechnology, and infrastructure sectors will follow in subsequent rollouts.
Ondo Global Markets (BVI) Limited serves as the note issuer. This distinct legal entity operates from the British Virgin Islands.
The arrangement is significant because purchasers depend on this entity for settlement rather than holding direct rights to the private company’s underlying shares.
Ondo’s established offering, Ondo Stocks, operates through a different mechanism. That platform delivers tokenized representations of publicly traded equities and exchange-traded funds supported by actual securities.
Ondo Stocks currently manages over one billion dollars in total value locked. The platform provides access to more than 450 tokenized stocks and funds.
Eligibility Requirements for Investors
The new private market instruments are distributed under SEC Regulation S. This framework limits availability to qualified individuals residing outside United States borders.
US retail participants cannot purchase, maintain, or redeem these tokens under existing regulatory frameworks.
Ian De Bode, acting head of Ondo Finance, noted that retail investment opportunities typically concentrate on publicly listed companies. He emphasized that 87 percent of American companies generating over 100 million dollars in annual revenue remain privately held.
Ondo contends this gap excludes numerous companies developing emerging technologies prior to any stock exchange listing.
Several other entities have pursued comparable strategies for private company access during the current year. A venture fund associated with Robinhood allocated 75 million dollars toward OpenAI common stock earlier this year.
That transaction provided retail participants with indirect exposure through a publicly listed investment vehicle.
Citi reportedly began developing a blockchain-based marketplace for private company shares earlier this year as well.
Existing platforms such as Hiive and EquityZen already facilitate private share transactions for accredited participants. Hiive received a 650 million dollar valuation in late 2025. EquityZen now operates under Morgan Stanley ownership.
Both services encounter potential delays from regulations granting companies right-of-first-refusal privileges before external sales can proceed.
Ondo asserts its notes circumvent this obstacle through unrestricted transferability on blockchain infrastructure.
The overall tokenized real-world asset market currently stands near 39 billion dollars, based on data from tracking platform rwa.xyz.
