TLDR
- During SpaceX’s quarterly earnings call, Elon Musk endorsed a potential combination with Tesla, calling it a “good idea.”
- Independent director committees at both organizations are examining the proposal, though no transaction terms have been finalized.
- SpaceX reported third-quarter revenue of $14.6 billion, representing a 161% year-over-year increase.
- The company’s “Super Intelligence” division generated $7.6 billion, marking an 830% surge from the previous year.
- The merged entity would possess 30,221 Bitcoin, ranking as the sixth-largest publicly traded corporate holder.
Elon Musk has publicly endorsed the concept of combining Tesla with SpaceX. His remarks came during the aerospace company’s quarterly financial results presentation on Tuesday.
The hypothetical combined entity would command a market valuation approaching $3.5 trillion. Such a combination would unite capabilities spanning artificial intelligence development, aerospace technology, and electric vehicle production.
“Do I think it would be a good idea? Yes,” Musk stated.
Musk revealed that both organizations have established special committees composed of independent board members to evaluate the proposal. The committees were created following requests from shareholders, he explained.
Due to his conflicted position, Musk noted he is excluded from participating in the deliberations.
Musk Says a Deal Is Not Certain
Musk outlined multiple domains where synergies between the companies could be realized. His list included superintelligence software development, semiconductor design, the Terafab manufacturing facility, robotics platforms, connectivity infrastructure, and orbital launch capabilities tied to the Starmind satellite constellation.
However, he cautioned against presuming the transaction is inevitable. “Some people out there assume that a SpaceX and Tesla merger is a certainty, and I think that would be overstating it,” he remarked.
The independent committees have yet to reach consensus on any transaction framework. Musk emphasized there is no assurance they will arrive at an agreement.
He also highlighted the stringent approval threshold required. For Tesla shareholders, the transaction would require affirmative votes from 50% of all outstanding shares, not merely those participating in the vote.
“And that’s quite a high hurdle to try to achieve,” Musk observed.
A successful merger would bring Tesla into the same corporate structure as SpaceXAI, previously called xAI, which creates the Grok AI assistant. The social media platform X, acquired by SpaceX in February, would also be part of the consolidated group.
SpaceX AI Revenue Jumps Ninefold
Musk’s statements came alongside SpaceX’s third-quarter financial disclosure. The company reported revenue of $14.6 billion, up 161% compared to the same period last year.
The “Super Intelligence” AI division contributed $7.6 billion in quarterly revenue. This represented an 830% year-over-year increase, establishing it as SpaceX’s primary revenue driver.
SpaceX attributed the dramatic growth to new enterprise cloud services contracts and its purchase of Cursor. Expanded adoption of the Grok AI platform among business and consumer users also fueled the gains.
A potential combination would unite two substantial corporate Bitcoin portfolios. SpaceX disclosed ownership of 18,712 Bitcoin as of June 30, according to its regulatory filing.
Tesla reported holding 11,509 Bitcoin on that same date. Combined, the organizations would control 30,221 Bitcoin.
This aggregate position would establish the merged company as the sixth-largest public corporate Bitcoin treasury holder. It would surpass cryptocurrency exchange Bullish in the rankings.
Currently, no definitive merger agreement is in place. Any transaction would require terms acceptable to both special committees and approval from a majority of Tesla’s total outstanding shares.
