Robinhood’s CEO Vlad Tenev has warned that the lack of clear regulatory guidance on tokenized securities could prevent institutional investors from committing substantial capital to blockchain-based equity markets. Tenev voiced these concerns during the firm’s Q3 earnings call held on Tuesday.
The Securities and Exchange Commission introduced a temporary innovation exemption earlier this year, creating a limited framework for onchain equity trading. While Tenev acknowledged the initiative as constructive, he stressed that it remains insufficient for long-term market development.
“Regarding the innovation exemption, it represents meaningful progress,” Tenev explained. “However, additional measures are essential to provide stakeholders with adequate certainty. In our conversations with clients, the ambiguity surrounding the regulatory landscape five years from now appears to be a barrier preventing them from deploying significant capital into this infrastructure.”
Tenev Advocates for Comprehensive Regulatory Framework
Tenev emphasized that either formal rulemaking procedures or congressional legislation will be required to establish enduring regulatory clarity. He indicated that Robinhood expects to disclose additional details regarding its domestic tokenization strategy in the near future.
“Therefore, I believe some form of official rulemaking or statutory legislation will be essential, despite the fact that the exemption certainly represents forward movement,” he stated.
Regarding tokenized shares of private companies, Tenev revealed that Robinhood intends to introduce such offerings in international markets, contingent upon local regulatory frameworks. For the US market, the platform is developing an approach compatible with existing accredited investor requirements.
Robinhood currently provides approximately 200 tokenized equity products on Robinhood Chain. These instruments are collateralized by actual stock shares but are structured as tokenized debt instruments.
This structure means token holders receive economic exposure without traditional shareholder privileges. Consequently, these products fall outside the scope of the SEC’s exemption framework, which mandates equivalent rights including dividend distributions and voting privileges.
Tokenized equity products have encountered resistance from established corporations. Companies including Microsoft, Alphabet, and Goldman Sachs were among 16 firms that filed objections to having their shares listed on the proposed OKXICE platform.
AMC Entertainment CEO Adam Aron has also publicly criticized Robinhood’s tokenized equity offerings.
According to projections from Binance Research, the tokenized equities sector could expand to $349 billion by 2030 under a baseline growth scenario. The market valuation stood at $4.43 billion as of September 15.
