TLDR
- Binance committed $100 million to Circle through a private share purchase and extended their USDC collaboration for five more years.
- The exchange acquired 1.24 million Circle shares at $80.84 per share in a private transaction.
- USDC’s market cap reached approximately $75 billion, while Tether’s USDT maintained over $183 billion.
- USDC trading pairs on Binance expanded from 140 to 329 following their initial 2024 collaboration.
- Circle continues strategic expansion with a planned $400 million acquisition of payment platform Tazapay.
A strategic alliance between Circle and Binance has been reinforced with a substantial $100 million investment, positioning USDC to compete more aggressively with Tether in the stablecoin marketplace. The arrangement combines equity investment with an extended five-year commercial collaboration centered on global distribution.
On September 22, Circle announced the finalized agreement. The arrangement includes Binance’s acquisition of Class A common stock shares alongside an extension of their existing USDC commercial partnership through 2030.
This latest agreement strengthens a collaboration that originated in late 2024. The partnership has already delivered significant expansion in USDC trading activity across Binance’s platform.
Investment Structure and Terms
The transaction involved Binance purchasing 1,237,011 shares priced at $80.84 apiece. This valuation represented a markdown from Circle’s prevailing market capitalization before finalization. The private share placement generated $100 million in proceeds and reached completion on September 17.
Binance retains voting rights for its shareholding but committed to a lock-up period preventing sales, transfers, or hedging for up to two years, subject to specific exemptions. The commercial framework includes monthly performance incentives paid by Circle to Binance, calculated based on USDC holdings managed through Circle’s wallet systems.
Both parties maintain termination rights if predetermined conditions materialize. This updated framework supersedes previous arrangements established in November 2024 and August 2025.
Market Position Against Tether
USDC maintains its position as the second-largest dollar-pegged stablecoin globally. According to CoinGecko metrics, USDC’s market capitalization reached approximately $75.3 billion on September 23, representing growth from $73.6 billion recorded the previous week.
Tether continues commanding a dominant market position. Its valuation approached $183.8 billion on September 26, accompanied by daily trading volumes near $69 billion.
Market observers suggest Binance’s distribution capabilities could accelerate USDC adoption, particularly across developing economies. However, experts note that Tether’s established market presence and extensive liquidity create substantial competitive barriers.
Binance has emerged as a primary hub for USDC transactions. Throughout 2026, the platform processed daily USDC spot trading volumes ranging between $5 billion and $10 billion, according to Kaiko analytics. This volume significantly surpasses competing exchanges.
USDC trading pair availability on Binance has experienced dramatic growth. The count began at 39 pairs in 2021, expanded to 140 by late 2024, and currently stands at 329 pairs.
Circle’s expansion strategy extends beyond Binance. The company broadened its collaboration with OKX, enabling USDC trading across spot, margin, and futures products.
Payment infrastructure represents another growth avenue. Circle revealed plans on September 8 to acquire Tazapay, a Singapore-headquartered cross-border payment processor.
The Tazapay acquisition carries a $400 million valuation in stock consideration and anticipates closure in 2027, subject to regulatory clearance. Tazapay facilitates over $25 billion in annual payment volume, with stablecoins representing approximately 60% of transaction activity.
Additionally, Circle introduced Arc, a proprietary blockchain, on September 16. Arc utilizes USDC for gas fees and launched with validation support from prominent institutions including BlackRock, Visa, Mastercard, and DTCC.
Binance co-CEO Richard Teng characterized the investment as demonstrating sustained conviction in Circle’s trajectory and USDC’s future. Circle CEO Jeremy Allaire recognized Binance as among the most significant platforms for dollar stablecoin adoption.
The extended partnership aims to broaden USDC accessibility through Binance’s extensive international user network in coming months.
