In a landmark expansion move, Metaplanet, recognized as Japan’s premier corporate Bitcoin accumulator, has unveiled its inaugural significant entry into American capital markets. The company, which trades on the Tokyo Stock Exchange, revealed its intention to commit 2,100 Bitcoin along with $2.5 million in traditional currency to secure majority ownership of Super League Enterprise, currently listed on the Nasdaq exchange.
Following completion of the acquisition, Super League Enterprise will undergo a corporate transformation, emerging as Superplanet with the new stock symbol SUPA. The restructured company will function as Metaplanet’s primary Bitcoin treasury operation based in the United States.
According to Simon Gerovich, CEO of Metaplanet, this arrangement establishes what he characterizes as a “dual-engine” approach to Bitcoin acquisition. While Metaplanet maintains its capital-raising activities within Japan’s financial ecosystem, Superplanet will access American investment channels, with particular emphasis on perpetual preferred equity instruments.
The Bitcoin contribution of 2,100 coins accounts for slightly less than 5% of Metaplanet’s aggregate position of 43,000 BTC. Based on prevailing market valuations, this Bitcoin allocation equals roughly $135 million. Importantly, the transaction involves no fresh Bitcoin acquisitions.
Transaction Framework and Terms
Upon completion, Metaplanet is projected to control approximately 95.7% of Superplanet’s ordinary shares, valued at $3 per unit. The investment package also encompasses preferred equity positions and warrant instruments, while Metaplanet will appoint five members to a nine-person board of directors.
Metaplanet’s ownership position in the restructured company will be subject to a five-year lock-up restriction. Meanwhile, Super League’s current operations spanning gaming, digital content creation, and advertising services will continue functioning within the new corporate framework.
Funds generated by either entity could be allocated toward supporting the overarching Bitcoin accumulation initiative. Additionally, Superplanet would gain the capability to pursue acquisition opportunities within the United States that might fall outside the reach of its Tokyo-based parent organization.
Transaction completion is anticipated during the fourth quarter of 2026, contingent upon receiving approval from Super League’s shareholder base.
Stock Market Response
Super League Enterprise shares experienced a dramatic surge exceeding 85%, reaching $5.66 on the announcement date. Trading activity exploded to approximately 37.3 million shares, representing a nearly 95-fold multiplication compared to the previous session’s volume of roughly 393,000 shares.
Metaplanet’s stock also registered positive movement, finishing the trading day up 5.07% at 228 JPY. During the session, shares fluctuated within a range of 224 to 238 JPY.
Among global corporate entities, Metaplanet currently occupies the third position in Bitcoin holdings. The company trails Twenty One Capital by approximately 500 BTC. Twenty One Capital operates with financial backing from Tether, Bitfinex, and SoftBank.
Michael Saylor’s Strategy maintains its position as the world’s largest corporate Bitcoin repository with holdings exceeding 840,000 BTC. Strategy has undertaken selective Bitcoin liquidations in recent periods to finance dividend distributions and stock buyback programs.
Metaplanet’s most recent Bitcoin acquisition occurred in early July. The organization posted impressive financial results showing revenue expansion of 133.7% and operating profit growth of 136.3% on a year-over-year basis during the first half of 2026.
Finalization of the acquisition remains dependent on standard closing conditions, including securing shareholder consent.
