Lundin Gold structured this transaction through a formal distribution agreement. The agreement, dated April 2, 2026, set the terms for share distribution. Lundin Gold agreed to pass these shares to its own shareholders.
On May 28, 2026, Lundin Gold declared a special dividend-in-kind. This dividend would distribute all Consideration Shares to eligible shareholders. The payment date was set for June 11, 2026.
Shareholders of record as of June 4, 2026 qualified for the payout. Newmont’s subsidiary held Lundin Gold shares and thus received its portion. As a result, Newmont’s stake in LunR grew substantially overnight.
