Pinterest (PINS) closed out the week on a challenging note. The social media platform revealed both significant insider trading activity and a key executive departure on Friday, creating uncertainty for shareholders who have already endured a 35% decline in share value over the past year.
As of the Aug. 25 market close, PINS was changing hands at $23.66.
Benjamin Silbermann, company co-founder and Chairman, divested 93,750 Pinterest shares for approximately $2.2 million during Aug. 25-26, 2026. The average selling price registered at $23.55 per share. The divestiture was executed via the Benjamin and Divya Silbermann Family Trust, subsequent to converting Class B Common Stock to Class A Common Stock.
The stock disposal occurred under a Rule 10b5-1 trading arrangement that Silbermann established on Feb. 27, 2026. Such arrangements are predetermined, meaning the sale’s timing isn’t influenced by access to non-public company information.
Following this transaction, Silbermann retains direct ownership of 13,996 Class A Common Stock shares. He maintains substantial exposure through approximately 1.2 million directly-held Class B shares and roughly 78.2 million shares held indirectly via trusts and related entities, ensuring his continued alignment with shareholder interests.
Financial Chief Julia Brau Donnelly Announces Exit
Pinterest simultaneously disclosed Friday that CFO Julia Brau Donnelly will depart to accept a position at a privately-held organization. The company clarified that her resignation isn’t connected to any disputes regarding operations, financial reporting, or corporate policies.
Vikram Naidu, who currently serves as VP of Finance and Business Operations, will assume the interim Principal Financial Officer role beginning Oct. 30. Naidu’s background includes finance positions at Verkada and Lyft.
The company has also appointed Renee Jewell as Chief Accounting Officer, effective Aug. 26. Jewell’s credentials include tenures at Airbnb, eBay, and PricewaterhouseCoopers.
Baird analyst Colin Sebastian maintained a Neutral outlook with a $26 price objective for PINS after the CFO announcement. Street-wide price targets span from $22 to $42.36.
Second Quarter Exceeds Expectations, Third Quarter Outlook Underwhelms
Pinterest delivered $1.2 billion in second-quarter revenue, representing 18% year-over-year expansion and surpassing analyst projections. The growth stemmed from robust performance across U.S. and Canadian markets, complemented by advertising platform enhancements.
Nevertheless, management’s third-quarter revenue growth forecast of 13% to 15% fell below Wall Street’s optimistic expectations. This slowdown dampened investor enthusiasm.
The platform achieved a record 640 million global monthly active users during Q2, marking 11% annual growth. Despite expanding its user base, the company recorded a Q2 net loss of $46.7 million.
DA Davidson elevated its price target to $27 with a Buy recommendation following the Q2 report. Susquehanna maintained a Positive rating with a $32 objective. Mizuho also established a $32 target, highlighting solid quarterly performance and a 1 percentage point improvement in 2026 adjusted EBITDA margin guidance.
Pinterest commands a market capitalization of $15.1 billion, with trailing twelve-month revenue of $4.6 billion and net income of $248.9 million.
