The Nevada-focused gold explorer launched its American Depositary Shares on September 1, 2026, marking a significant expansion in its trading presence under the “SGLD” ticker on Nasdaq.
The company’s ADS structure features a 20-to-1 ratio, meaning each American Depositary Share represents ownership of 20 underlying common shares. Bank of New York Mellon has been appointed to manage the depositary program.
By utilizing an ADS framework for its Nasdaq entry, Scorpio Gold successfully satisfied the exchange’s listing criteria without implementing a reverse stock split.
This approach preserved the company’s current share structure completely. Existing investors holding positions through the TSX Venture Exchange, OTCQB, and Frankfurt Stock Exchange experienced no dilution or consolidation.
Scorpio Gold’s ordinary shares maintain their trading presence on the TSX Venture Exchange, now also under the unified “SGLD” ticker. Additional listings remain active on the OTCQB Venture Market as “SRCRF” and Frankfurt Stock Exchange as “RY9.”
Understanding the ADS Structure for Shareholders
Existing shareholders have the flexibility to exchange their ordinary shares for ADSs whenever they choose through their brokerage accounts. The exchange mechanism operates on a 20-to-1 basisātwenty common shares convert into one ADS.
The company has eliminated all ADS creation fees until November 25, 2026, removing a typical cost barrier for shareholders. This conversion remains completely voluntary, allowing investors to choose their preferred holding method.
Chief Executive Officer Zayn Kalyan characterized the Nasdaq entry as “a defining milestone” for Scorpio Gold. He emphasized that consolidating under a single “SGLD” ticker across North American markets provides investors with “one clear identity” as the organization advances to its next growth stage.
Nevada Operations and Asset Portfolio
Scorpio Gold operates as a precious metals exploration and development enterprise concentrated on properties within Nevada’s prolific Walker Lane Trend.
The company maintains full ownership of the Manhattan District, spanning approximately 4,780 hectares. This land package encompasses the Goldwedge mining operation plus four historically productive open pits obtained in 2021.
The property benefits from existing operational permits, secured water rights, and comprehensive historical exploration data.
Scorpio Gold currently commands a market capitalization of roughly C$104.5 million. Historical trading activity on the TSX Venture Exchange averaged approximately 267,601 shares daily.
TipRanks’ artificial intelligence system assigns a Neutral rating to the stock, pointing to limited revenue generation, persistent operating deficits, and negative free cash flow as concerns, while acknowledging positive near-term technical momentum and minimal debt leverage.
At the close of trading, SGLD finished at $14.55, representing a 186% gain for the session.
