The substantial gain elevated SWKS significantly above its previous closing price of $76.54, positioning it closer to the upper boundary of its 52-week trading range spanning $51.93 to $90.90.
Shares of Qorvo similarly benefited from the announcement, with QRVO advancing 6.77% during Thursday’s trading session.
Transaction Structure and Terms
The acquisition, initially unveiled in October 2025, is arranged as a combined cash-and-equity transaction carrying a total valuation of $22 billion. Under the agreement terms, Qorvo investors will be entitled to receive $32.50 in cash plus 0.960 shares of SWKS common stock for every share they currently hold upon deal completion.
Following the transaction’s close, Skyworks investors will maintain ownership of approximately 63% of the newly combined organization, while former Qorvo shareholders will hold the remaining 37% stake.
Brace is positioned to serve as Chief Executive Officer of the merged corporation. Meanwhile, Qorvo’s current President and CEO Bob Bruggeworth has been designated to assume a position on the combined company’s board of directors.
Financial projections for the unified enterprise indicate expected combined pro-forma revenues approaching $7.7 billion alongside Adjusted EBITDA of approximately $2.1 billion, positioning the company to compete more effectively against major global semiconductor industry participants.
As the transaction progresses toward finalization, Skyworks has been actively extending exchange offers related to Qorvo’s existing senior note obligations.

During the third quarter of fiscal year 2026, which concluded in June, Skyworks reported a substantial 67.7% year-over-year decline in net income, which fell to $33.9 million compared to $105 million during the corresponding period in the previous fiscal year.
Total net revenues decreased 3.12% on a year-over-year basis, reaching $934.8 million versus $965 million in the prior-year quarter.
Notwithstanding the reported declines, Brace emphasized that actual results surpassed the company’s internal forecasts. He highlighted robust demand within mobile segments and expansion across broad market categories, with particular strength in automotive and data center verticals, both of which delivered double-digit percentage increases compared to the prior year.
