Leading cryptocurrency liquidity provider Wintermute has successfully registered its American subsidiary as a licensed broker-dealer under the oversight of both the Securities and Exchange Commission and the Financial Industry Regulatory Authority.
This newly established entity, operating as Wintermute USA LLC from New York, now holds authorization to execute equity and option transactions, supply market liquidity to American securities platforms, and function as an authorized participant for exchange-traded products, encompassing those connected to cryptocurrency assets.
The company disclosed this development on Thursday, August 7, 2026.
Understanding Broker-Dealer Authorization
Entities holding broker-dealer status are firms that have completed registration with both the SEC and FINRA, granting them permission to facilitate transactions on behalf of customers while also conducting proprietary trading activities.
Wintermute USA has additionally secured the capability to independently clear transactions involving digital asset securities. This capability provides the organization with enhanced autonomy over its American market trading infrastructure.
Within the ETF ecosystem, authorized participants perform an essential function. These entities facilitate the creation and redemption of substantial ETF share blocks through exchanges involving the fund’s underlying asset basket, maintaining alignment between the fund’s trading price and its actual net asset value.
Positioning for the Tokenized Securities Revolution
According to Wintermute, this regulatory registration reflects the company’s strategic outlook on tokenized securities expansion. The firm has been actively broadening its presence in this emerging sector, recently launching market-making services for tokenized gold products and delivering liquidity solutions for prediction market platforms.
While the SEC has demonstrated openness to blockchain-related innovation, regulators have consistently emphasized that transferring securities onto distributed ledgers does not provide exemption from existing securities regulations. The commission has clarified that various blockchain-based securities activities necessitate appropriate regulatory licensing.
Company founder Evgeny Gaevoy stated that Wintermute has consistently maintained the perspective that digital asset markets would expand beyond cryptocurrency’s initial boundaries.
“Digital assets and traditional finance will continue to develop in parallel, intersect in new ways, and ultimately integrate more deeply,” Gaevoy said. “As the landscape evolves, the firms that succeed will be those that have technical and operational know-how to operate in both.”
Based in London, Wintermute currently processes in excess of $10 billion in average daily transaction volume. The firm maintains operations spanning more than 60 centralized and decentralized trading venues worldwide.
Wintermute USA will operate from New York and function as the organization’s primary center for its broadened American activities across both conventional and digital asset trading sectors.
This regulatory milestone represents a significant advancement in merging cryptocurrency market-making capabilities with established American financial market infrastructure.
